About SLG

Sarabia Legal Group was founded by attorney, Eric Sarabia, in 2017.  Eric was born and raised in Los Angeles, California. He spent six years practicing mergers & acquisitions law with two top-tier law firms in New York City where he specialized in assisting clients with tax, compensation and other corporate law matters. He advised executives and companies, from large public corporations to private tech startups. 

During his time practicing law in NYC, he developed an interest in advising entrepreneurs in particular. Corporate Formation

Incorporate Your Startup as a C-Corp or LLC

For a $500 flat rate fee, we provide the following:

  • Advise on the right type of entity for your business
  • Obtain a registered agent as required by state law
  • Complete and file the certificate of incorporation/formation
  • Prepare action of incorporator form
  • Have your startup incorporated within 48 hours
  • Initial shareholder consents and Board resolutions to approve and adopt initial documents and actions.

Founder Matters

One area which founders often overlook is the agreement among themselves.  Known as the founder stockholders agreement, it addresses key terms, such as the vesting of their stock and what happens when a founder leaves.

  • Prepare the founder stockholders agreement
  • Issue stock to founders
  • Prepare 83(b) elections for tax purposes
